Terms of Service

Acceptance of Terms

  • By creating an account or making a purchase, the user agrees to these terms
  • If a user does not agree, they must not use the platform
  • You reserve the right to update terms with 30 days notice via email
  • Continued use after the notice period constitutes acceptance of updated terms

Eligibility

  • Must be 18 years or older (coaching services are not for minors)
  • Must provide accurate registration information
  • One account per person (no shared accounts)
  • You reserve the right to refuse service to anyone

Account Responsibilities

  • User is responsible for maintaining the security of their login credentials
  • User must not share their account credentials with any other person
  • User must notify you immediately if they suspect unauthorized access
  • You are not liable for losses resulting from unauthorized use of an account
  • Sharing login credentials to allow others to access paid content is a violation and grounds for immediate account termination without refund

Subscription Terms

Commitment Minimum Enforcement

This section is critical for protecting your Recalibration revenue:

  • Recalibration subscriptions include a minimum commitment period as disclosed at checkout
  • Early cancellation before the minimum term is not permitted through the platform
  • If a subscriber requests early cancellation outside the platform (e.g., contacting Stripe directly, issuing a chargeback), the remaining balance of the commitment period is still owed
  • This commitment minimum is disclosed clearly at checkout before payment is processed, with explicit acceptance required (separate checkbox)
  • Subscribers who dispute the commitment term after agreeing to it at checkout remain responsible for the remaining balance, and we reserve the right to pursue lawful collection of unpaid amounts

One-Time Purchases

  • Digital products (audio meditations, PDFs, bundles) are delivered immediately upon payment
  • All digital product sales are final (no refunds on delivered digital content, see Refund Policy for details)
  • Purchase grants a personal, non-transferable license to access the content (see Content License)
  • You reserve the right to update or replace content at any time

Limitation of Liability

Cap on liability:

  • Your total aggregate liability for any claims arising from use of the platform or services is limited to the total amount paid by the user in the 12 months preceding the claim
  • In no event shall this cap exceed $5,000 regardless of the amount paid

Excluded damages (you are NOT liable for):

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from decisions made based on coaching guidance
  • Emotional distress, psychological harm, or physical reactions from content consumption
  • Career, business, or relationship outcomes resulting from applying coaching concepts
  • Damages resulting from unauthorized access to a user's account
  • Damages resulting from third-party service failures (Stripe, Supabase, Bunny Stream, Resend)
  • Damages resulting from user-generated content in the community forum

Disclaimers (Services Provided “As-Is”)

  • The platform and all services are provided “as-is” and “as-available”
  • You make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • You do not warrant that the platform will be uninterrupted, error-free, or secure
  • You do not warrant that any content will achieve specific results for any user

Indemnification

User agrees to indemnify and hold harmless Coco Swanson, her agents, contractors, and affiliates from any claims, damages, losses, or expenses (including attorney's fees) arising from:

  • User's violation of these terms
  • User's use of the platform or services
  • User's content posted in the community forum
  • User's sharing of account credentials or gated content
  • Any third-party claim related to user's actions on the platform

Dispute Resolution

  • Governing law: State of Washington
  • Mandatory arbitration: All disputes resolved through binding arbitration (not court litigation), administered by JAMS or AAA
  • No class actions: User waives the right to participate in class action lawsuits or class-wide arbitration
  • Small claims exception: Either party may bring claims in small claims court if the claim qualifies
  • Informal resolution first: Before filing arbitration, both parties must attempt to resolve the dispute informally by contacting the other party in writing. 30-day negotiation period before arbitration can be initiated
  • Arbitration costs: Each party bears their own costs. If the user prevails, you will reimburse the user's filing fees

Termination

You may terminate or suspend a user's account immediately, without prior notice, for:

  • Violation of Terms of Service
  • Sharing login credentials or gated content
  • Abusive behavior in community forum
  • Chargeback or payment fraud
  • Any activity that threatens platform security or other users
  • Upon termination for cause: no refund of any prepaid amounts
  • Upon termination without cause by you: pro-rated refund of any prepaid subscription amounts
  • User may terminate their account at any time through Account Settings, subject to commitment minimums for Recalibration subscriptions

Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, pandemics, war, government actions, internet failures, power outages, third-party service provider failures, cyberattacks, or labor disputes. The affected party must notify the other party within 7 days. If the force majeure event continues for more than 60 days, either party may terminate the agreement.

Modifications to Service

  • You reserve the right to modify, suspend, or discontinue any part of the platform at any time
  • Material changes will be communicated via email with 30 days notice
  • Continued use after the notice period constitutes acceptance

Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Entire agreement: These terms, together with the Privacy Policy, Refund Policy, Content License, and Community Guidelines, constitute the entire agreement
  • Assignment: You may assign these terms. User may not assign their account or rights
  • Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement
